- The name of the Club. ADDERBURY GARDENING CLUB
- Objects of the Club. These shall be the furtherance of gardening knowledge, plant cultivation and the techniques used, through the medium of meetings, lectures, discussions, and visits to nurseries, gardens, shows, exhibitions etc.
- Annual Show. The Club shall hold a show, the schedules for which will be available from June each year. The show will be open to members of the Club and the villagers of Adderbury, Twyford and Milton.
- Membership. Shall be open to anyone, subject to the approval of the Committee.
- Subscriptions. The annual subscription shall be recommended by the Committee, voted for at the AGM and be paid by each member on joining, and thereafter on or about the 31st August each year.
- Privileges. Members are entitled to attend all meetings, to take part in all proceedings, to vote, to attend any excursion or visit that may be arranged and to enjoy any trading privileges that become available to the Club.
- Life Honorary Members. Those members awarded Life Honorary Membership for services to the Club pay no subscription, are entitled to vote at the AGM and may be elected to the Committee but may not hold Office other than those of President and Vice-President.
- Club Affairs. A committee consisting of two Officers and up to seven Members shall conduct the affairs of the Club.
- Chairman. A Chairman shall be elected annually at the AGM.
- Officers. The Officers of the Club shall be a Secretary and a Treasurer. No person may hold more than one office at a time. The Officers shall be elected at the AGM and hold office until the next AGM, when they shall retire. They may be eligible for re-election.
- Committee Members. The members of the committee shall be elected at the AGM; they will retire each year but be eligible for re-election. Nominations for the Committee may be taken at the AGM, each must be proposed and seconded and approved by the majority of the membership.
- Powers of the Committee. The Committee shall have the powers to appoint sub-committees and co-opt members as required.
- Annual General Meeting. The Financial year shall end on 31st August and an AGM shall be held in September for the purpose of:
a. Receiving the Chairman's Report on the year's activities.
b. Receiving the Treasurers Report and Balance Sheet listing all incomes and expenditures.
c. Election of Chairman, Officers and Committee.
d. Any other business.
- Ordinary Meetings. The ordinary meetings of the Club shall be held in accordance with a programme formulated by the Committee.
- Quorum. The quorum for an AGM shall be fifteen members and for a Committee meeting five members. In the event of an equality of votes the Chairman shall have a second or casting vote.
- Record of Members.The Secretary shall keep a complete record of members and their addresses. The treasurer shall record the payment of subscriptions etc
- Club Funds. All monies shall be passed to the Treasurer who shall be responsible for all the Club's Funds. He shall ensure that all monies received by him are paid into the Club's Account. All cheques draw on that account shall be signed by the Treasurer and one other Committee Member. The funds shall only be used in ways sanctioned by the committee. No individual member of the Club shall be responsible for the debts of the Club.
- Minutes. All Committee meetings shall be minuted and these shall be available, on request, at the AGM.
- Applicability. Should any matter arise not covered by the rules or their interpretation, the Committee whose decision is final shall decide it.
- Termination of the Club. In the event of the Club terminating, its assets shall be realized and the proceeds thereof distributed amongst the paid up membership.
